This Irrevocable Power of Attorney is given this …..……… day of …………………….. 2025.

BY

ATINUKE D. OJEBODE & PETER PALMER of OPP. CITYFRESH BAKERY, LUGBE, ABUJA (hereinafter called “the DONOR” which expression shall where the context so admits, include its Assigns, Agents and Personal Representatives).

TO                                                                                                                  

AGBEBAKU BLESSING of BLOCK A RM 28, WU BASSEY BARRACKS ASOKORO, FCT (hereinafter called “the DONEE” which expression shall where the context so admits include his Heirs Assigns and Successors in Title).

 

Whereas

  1. The DONOR duly acquired title and is the beneficial owner of all that land consisting of Land known as Plot VHP/VTA/TD027/2025, within and located at VALINGTON TERRACE APARTMENT, AIRPORT ROAD, ABUJA Herein after called THE LAND.
  2. The DONOR is desirous of appointing an attorney and assigning its actual and entire interest over and in respect of the land to the attorney and DONEE has consented to being so appointed.
  3. That for a valuable consideration of N2,000,000.00 (Two Million Naira) Only paid by the DONEE to the DONOR, the receipt of which the Donor hereby acknowledges as consideration. The Donor do hereby appoint the Donee, as TRUE and LAWFUL ATTORNEY of the said Parcel of land known as Plot VHP/VTA/TD027/2025 at VALINGTON TERRACE APARTMENT, AIRPORT ROAD, ABUJA.

 

 

 

NOW BY THIS IRREVOCABLE POWER OF ATTORNEY

The DONOR, do hereby nominate, constitute and appoint the DONEE to be Its true and lawful attorney in Its name and on Its behalf for the purpose of using, developing and managing THE LAND and without prejudice to the generality of the foregoing. WE specifically give DONEE the irrevocable power of attorney to do or continue to do all or any of the following acts, deeds or things in relation to THE LAND.

  1. To take over or continue the immediate and effective possession, occupation and management of THE LAND for his/her sole benefit without any interference by or from THE DONOR except as contained in terms and conditions when contracting this transaction.
  2. To develop the LAND, at his/her own cost and expense, subject to approval building plan(s) and other condition agreed by the parties.
  3. To effect compliance with the covenant and conditions contained in any such approvals.
  4. To collect and recover any profit arising from the use or management of the LAND and to retain such profit for his/her own use.
  5. To accept any surrender of lease or tenancies affecting THE LAND and to enter into contracts, covenants and arrangement of any kind in relation to THE LAND.
  6. To sell, assign, mortgage or otherwise deal with or alienate THE LAND, in whatever manner and to whomsoever he/she may in his/her absolute discretion deem fit and to receive and keep for himself/herself or use the proceeds accruing therefrom, hence it is in pari materia with the terms and conditions.
  7. To execute deeds, instrument and all other documents and do all other things necessary and proper for the conveyance or any other form of transfer of interest in the LAND in as it is not contrary to the terms and conditions.
  8. To mail and sign in his/her name, application(s) to appropriate government Authority/department or other competent authorities for any licenses, permission, certificate of consents that now or at any time in the future may be required in connection with THE LAND, including the recovery of compensation where such is legal.
  9. To pay development fee or other charges and to raise similar charges upon the LAND where appropriate and in tandem with the terms and conditions.
  10. In the event of an order for compulsory purchase of the land by any competent authority or any notice or threat to comply with any requirement being served in the respect of the LAND or any part thereof, to enter into negotiation with the authorities issuing or making same and to take such step as he/she may in his/her absolute discretion think fit to propose or comply with such notice or orders and generally to protect his/her own interest in the LAND.
  11. To accept on behalf of and to retain for his/her use any compensation payable in respect of the exercise of any statutory power in relation to the LAND and in any such case accept land, shares or similar securities or satisfaction of such compensation.
  12. To ward off and prohibit and if necessary to proceed against in any due form of law, all trespassers on the LAND and take appropriate steps whether by action or otherwise to act or abate all nuisance thereto.
  13. To institute and maintain as well as defend any action or other proceedings in respect of or affecting the LAND.

 

AND THE DONOR HEREBY DECLARES AS FOLLOWS:

  1. That the DONOR shall handover to the DONEE the said land and the original of all relevant documents of ownership/allocations that are in its possession in respect of the LAND at or immediately after the signing/ execution of this Power of Attorney.
  2. That this Power of Attorney nullifies all and other Power of Attorney which the DONOR might have given to any other person in respect of the LAND and that this Power of Attorney remains the only one valid and subsistent.
  3. That the DONOR shall execute, sign, perfect, all document(s) in favour of the Donee, in respect of this land whenever it is called upon to do so.
  4. That the DONOR shall indemnify the Donee for any encumbrances on the land or for any defect in the title of the Donor only as donated by this Power of Attorney.
  5. That the provisions on the Letter of Allocation given to the DONEE shall be binding on the DONEE.
  6. That the DONOR hereby acknowledges or confirms whatever the DONEE shall do or purport to do under or by virtue of this Power of Attorney, hence it is not contrary to the Terms and Conditions of this transaction.

 

 

IT IS HEREBY FURTHER DECLARED:

  1. That this Power of Attorney is granted for valuable consideration and is therefore coupled with interest and the power hereby conferred shall accordingly be and remain irrevocable.
